Terms & Conditions
In these Terms & Conditions, the following words and phrases shall have the following meanings:
“Referral Scheme” means the scheme made available by 100 Pound Social whereby the Referral Scheme Member is rewarded in the event a Referred company/organisation becomes a 100 Pound Social client.
“Referred company/organisation” means the company or organisation referred to 100 Pound Social by an Referral Scheme Member.
“Referral Scheme Member” or “Member” means an individual, company, or organisation referring another company/organisation.
“Referral Fee(s)” or “Fee(s)” means the fees paid to the Referral Scheme Member under the Referral Scheme.
“100 Pound Social” means Lee Media Ltd, trading as 100 Pound Social.
1. Joining
1.1 An individual must apply to join 100 Pound Social’s Referral Scheme.
1.2. An individual will only qualify to receive Referral Fees if they are an Referral Scheme Member.
1.3 The Referral Scheme is open to 100 Pound Social clients and the public (non-clients).
2. Payment of Referral Fees
2.1 The Referral Scheme Member receives the referral fees for the duration of the referred company/organisation’s subscription.
2.2 Referral fees are paid for 15% of each recurring payment. Referral fees are not paid for Onboarding Fees.
2.3 The first referral fee will be paid 31-days after the referred company/organisation signs-up. Subsequent fees (if applicable) will be paid within 31 days of the same Referred company/organisation making their subscription payment.
2.4 No referral fee will be paid if: the referred company/organisation claims their 20-day money-back guarantee; the referred company/organisation is on a monthly subscription (paying upfront monthly) and fails to make their second monthly payment (thereby breaking our terms of service by failing to give 30-days notice); If the referred company/organisation cancels their plan, the Referral Scheme Member will receive 15% of their final pro-rated payment. Referral fees will then cease.
2.5 If a referred company/organisation upgrades or downgrades their plan, the referral payment will reflect 15% of the new plan price.
2.6 In order to qualify to receive Referral Fees, the Referral Scheme Member must inform 100 Pound Social that they made a referral within 3 week of the Referred company/organisation’s sign-up date.
2.7 The Referral Scheme Member will not receive any Referral Fees if 100 Pound Social was not informed of the referral within 3 weeks of the Referred company/organisation’s sign-up date.
2.8 Referral fees cannot be claimed in retrospect.
2.9 A payment method must be supplied within 4 weeks of a successful referral, or the referral fee will be forfeited.
2.10 Referral Scheme Members may not refer their own business or businesses they are affiliated with.
3. Limits
3.1 There is only one reward for each referred company/organisation referred.
3.2 100 Pound Social will notify the Referral Scheme Member if the Referred company/organisation has previously been referred.
3.3 In the event that a referred company/organisation is sent by multiple Referral Scheme Members, whichever Referral Scheme Member submitted the referral first will be paid the Referral Fee(s).
3.4 If the referred company/organisation signs up for more than one plan, a referral fee will only be paid for the first plan.
3.5 There is no limit to the number of referrals made by each Referral Scheme Member.
3.6 The Referral Scheme is not open to 100 Pound Social staff or contractors.
4. Payment
4.1 Referral fees will be paid via bank transfer, invoice discount, or charity donation, as preferred by the Referral Scheme Member.
5. Self-Billing Agreement
5.1 In order to join the Referral Scheme, Members will agree to 100 Pound Social’s “self-billing” arrangement, meaning 100 Pound Social will issue invoices on the Referral Scheme Member’s behalf for each Referral Fee paid.
5.2 Upon application to join the Referral Scheme, Members will be asked to check a ‘tick-box’ to agree to the Referral Scheme’s Terms and Conditions, including the self-billing agreement.
5.3 The Referral Scheme Member’s application form will be kept on record and forms the self-billing agreement between the Member and 100 Pound Social.
In order to join the Referral Scheme, Members will need to provide: VAT number (if applicable), Company address.
5.4 The self-billing agreement will be in place from the date the Referral Scheme Member joins the Referral Scheme until August 15th 2024. On August 15th 2024, the Referral Scheme Member will be asked to re-confirm that they agree to self-billing for the following 12 months. The Referral Scheme Member will be asked to make a new self-billing agreement in the event that 100 Pound Social’s VAT registration number changes.
5.6 100 Pound Social (the self-biller) will:
5.6.1 Within 30 days of paying a Referral Fee, 100 Pound Social will issue the Referral Scheme Member with a self-billed invoices showing the Member’s name, address and VAT registration number (if applicable).
5.7 The Referral Scheme Member (the self-billee) will
5.7.1 Accept invoices raised by 100 Pound Social (for Referral Fees) on their behalf until August 15th 2024.
5.7.2 Not raise sales invoices for the transactions covered by this agreement, meaning Referral Fees.
5.7.3 Notify 100 Pound Social immediately if they change their VAT registration number, become VAT registered, cease to be VAT registered, or sell their business or part of their business.
6. Miscellaneous
6.1 In the event of any disputes regarding the Referral Scheme, the decision of 100 Pound Social is final.
6.2 100 Pound Social has the right to withdraw or adjust this scheme and update these Terms & Conditions at any time, without notice.
6.3 The Terms & Conditions may be amended from time to time in 100 Pound Social’s sole discretion. An email communication sent to the Client’s last-known email address will be deemed sufficient notice of any such changes in these Terms & Conditions. The Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales. If any provision of the Terms & Conditions shall be held by a court of competent jurisdiction to be unenforceable, that provision will be severed only to the extent minimally necessary, and the remaining provisions of the Terms & Conditions will remain in full force and effect. The waiver of any breach or default of the Terms & Conditions will not constitute a waiver of any subsequent breach or default, and will not act to amend or negate the rights of the waiving party.
